Taaj Viljoen is a senior associate in our Cape Town office’s Corporate Department.

She specialises in mergers and acquisitions and general corporate and commercial law. She has experience with clients in various sectors, including the consumer, financial services and property sectors. Her experience includes advising companies in relation to asset and share acquisitions and disposals, restructurings, property leases, loan agreements and services agreements. She also has experience in drafting companies’ constitutional documents, including memoranda of incorporation and shareholders’ agreements, establishing share ownership schemes for private companies, advising listed companies on schemes of arrangements, and conducting and project managing legal and regulatory due diligence investigations.

Taaj holds a LLB degree from the University of Cape Town.

  • Advising Pioneer Food Group Limited in relation to the acquisition by PepsiCo Inc. of all the issued shares in Pioneer Food Group Limited by way of a scheme of arrangement. This transaction was valued at ZAR 26 billion and won DealMakers Deal of the Year in 2019.
  • Advising PepsiCo and Pioneer Foods in relation to various M&A transactions in South Africa and broader Africa.
  • Advising PepsiCo and Pioneer Foods in relation to implementation of its various regulatory commitments post the acquisition of Pioneer.
  • Advising Vunani in relation to the unbundling of its private equity assets.
  • Advising Old Mutual in relation to its establishment of the retail brand, We Are Egg, as a joint venture in South Africa.
  • Advising Macquarie Bank in relation to the establishment of a joint venture with a B-BBEE consortium in South Africa.
  • Advising RecoMed in relation to its collaboration with Discovery’s online booking platform.
  • Advising Shelsley Chemicals in relation to disposal of its subsidiary, Exeltis South Africa, to Activo Health.
  • Advising the Marriott hotel group in relation to its management of various hotels in Africa.
